A existing whole time director, who is son of Managing director of the company proposes to be reappointed as whole time director for period of 3 years with salary exceeding Rs. 250000 per month, do the company require to take approval of members by way of special resolution under section 188 (1) (f) of the Companies Act, 2013 and Ruels made thereunder.
