pvt ltd company was formed with 2 directors. 2nd director has rented more than 50% factory & collecting rent under his proprietary firm & paying TDS too. When company is formed a current account is also opened but he has not kept any kind of books since the account is opened & the account is running quite good till date. How can we remove him from his post of director & can he challenge us in any legal matter ? will company get any kind of rebate from his proprietary firm ? what kind of charges can company take against him ? with all this happened will there be any kind of problem for our pvt ltd company ? if yes how can we get out of that ? can u mail me directly womcolaboratoriespvtltd@in.com thanks kaustubh

sir, we have formed a pvt ltd co having 2 directors. now 2nd director has misused his powers by giving the part of factory on lease under his propriety firm & he is paying tds also under propriety firm. here we want to remove him & see to that he cant come back. how can we appoint a new director also ? thanks kaustubh
