thankz for that prompt reply sir, 1 last query in case the directors are interested in transaction but quorum is formed excluding them can a resolution passed by all the remaining non-interested director be termed as unanomous?

Sir, you have stated that MAT credit is available only on tax element and not on surcharge & cess. I have practical issue on the same. Can u please justify it with case laws or else so that I can post it
